These Terms of Service ("Terms") govern access to and use of Zuqora websites, progressive web applications, APIs, and related services (the "Services") offered by Syncraft Labs ("Zuqora", "we", "us"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or place binding orders. Businesses registering as vendors confirm they are authorised to bind their organisation.
2. Accounts and roles
The Services may include customer, vendor, and administrator roles. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of unauthorised use at contact@syncraftlabs.com.
3. Marketplace and orders
- Vendors are independent sellers. Zuqora provides software to list menus, take orders, and coordinate logistics as configured. The contract for goods or services is between you and the vendor unless we explicitly state otherwise.
- Pricing, availability, allergens, and delivery times are set by vendors. Zuqora does not guarantee accuracy but may remove misleading listings where we detect abuse.
- Payments may be processed by third parties (e.g. mobile money). Their terms apply in addition to ours.
4. Subscriptions and fees
Vendors may be charged subscription or usage fees as described in onboarding, pricing pages, or order summaries. Fees are exclusive of applicable taxes unless stated. We may change fee schedules with reasonable notice where required by law.
5. Acceptable use
You agree not to:
- Violate law or infringe third‑party rights;
- Upload malware, scrape the Services in bulk without permission, or probe systems for weakness;
- Misrepresent identity, manipulate reviews, or spam users;
- Use the Services to sell illegal goods or services.
We may suspend or terminate access for violations.
6. Intellectual property
Zuqora retains all rights in the platform, branding, and documentation. Vendors retain rights in their own content (menus, images) and grant us a licence to host and display it for operating the Services.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUQORA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ZUQORA FOR THE SERVICES IN THE THREE MONTHS BEFORE THE CLAIM, OR (B) FIFTY US DOLLARS (USD 50), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW (SUCH AS DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).
9. Indemnity
You will defend and indemnify Zuqora against claims arising from your content, your breach of these Terms, or your violation of law, except to the extent caused by our wilful misconduct.
10. Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict‑of‑law rules. Courts in Nairobi, Kenya, shall have exclusive jurisdiction, subject to mandatory consumer protections in your home jurisdiction where they cannot be waived.
11. Changes
We may modify these Terms. We will post updates here and revise the "Last updated" date. Continued use after changes become effective constitutes acceptance where permitted by law.
